SURPRISE LOCAL DEALS TERMS OF SERVICE
Last Updated: September 7, 2026
These Terms of Service ("Terms") are an agreement between Surprise Local Deals ("SLD," "we," "us," or "our") and any person or business that accesses our website, creates an account, purchases a subscription, submits content, or otherwise uses our services ("you," "your," "User," or "Customer"). By using Surprise Local Deals or purchasing our services, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy.
1. OUR SERVICES
Surprise Local Deals provides local business visibility, business profiles, advertising, promotional content, offers and coupons, and related marketing services. Depending on the plan purchased, services may also include social media promotion, neighborhood-platform promotion, video content, homepage exposure, banner placement, analytics, or other promotional features described at the time of purchase. Specific features, frequency of promotion, pricing, and other plan details are those shown in the Customer's order, signup page, invoice, or other written plan description. We may improve, replace, or discontinue individual features when reasonably necessary, provided that we do not intentionally deprive a paying Customer of the material value of the plan purchased.
2. BUSINESS INFORMATION AND CUSTOMER CONTENT
Customers are responsible for the accuracy, legality, and completeness of all information and materials they provide or approve, including business names, addresses, phone numbers, hours, menus, prices, photographs, logos, videos, descriptions, testimonials, and promotional claims. By providing or approving content for publication, you represent that you own the content or have permission to use it. You grant SLD a non-exclusive, worldwide, royalty-free license to use, copy, resize, edit for formatting, display, publish, and distribute that content as reasonably necessary to provide and promote your SLD services, including on the SLD website and through social media, neighborhood platforms, email, video, and other promotional channels. You remain the owner of your original business content. You may ask us to correct or remove Customer-provided content, subject to reasonable processing time and any recordkeeping obligations.
3. SLD-CREATED MARKETING MATERIALS
SLD may create descriptions, promotional copy, graphics, coupon artwork, videos, advertisements, layouts, templates, or other marketing materials for a Customer. Unless otherwise agreed in writing, SLD retains ownership of its original templates, design systems, branding, and reusable creative elements. During an active paid subscription, the Customer may use SLD-created materials prepared specifically for that Customer for the Customer's own business promotion. This permission does not transfer ownership of SLD templates, branding, software, systems, or reusable design elements.
4. OFFERS, COUPONS, AND CUSTOMER TRANSACTIONS
Participating businesses are solely responsible for the offers, coupons, discounts, prices, products, services, restrictions, expiration dates, and redemption terms they authorize SLD to advertise. A Customer must not submit or approve an offer it does not intend or is not legally able to honor according to its stated terms. SLD promotes participating businesses but is not the seller or provider of their goods or services and is not a party to transactions between a User and a participating business. Questions, disputes, refunds, fulfillment issues, warranties, and other matters relating to a participating business's goods, services, or offers are between the User and that business.
5. SUBSCRIPTIONS, BILLING, AND AUTOMATIC RENEWAL
Paid SLD plans are subscription services billed in advance for the billing period shown at signup or in the Customer's order. Unless a different term is stated in writing, subscriptions renew automatically on a month-to-month basis until cancelled. By purchasing a subscription, you authorize SLD and its payment processor to charge the payment method on file for recurring subscription fees and any separately approved charges. Applicable taxes may be added when required. Prices may change in the future. We will provide reasonable notice before a price increase applies to a renewing subscription. A price change will not be applied retroactively to a completed billing period. SURPRISE LOCAL DEALS Terms of Service - Draft for Review | Page 2
6. CANCELLATION, REFUNDS, AND FAILED PAYMENTS
You may cancel a subscription using any cancellation method made available through your SLD account or by contacting Surprise Local Deals at cannon@surpriselocaldeals.com. Cancellation stops future renewals and normally becomes effective at the end of the then-current paid billing period. Subscription fees are non-refundable once a billing period begins, except when a refund is required by law or expressly offered by SLD in writing. Cancelling does not create a refund or credit for an unused portion of a billing period. If a payment is declined, reversed, disputed, or remains unpaid, SLD may suspend promotional services, remove paid features, or deactivate the account until payment is resolved. We will not intentionally continue charging a cancelled subscription for a new billing period.
7. NO GUARANTEE OF BUSINESS RESULTS
SLD provides advertising, visibility, and promotional services. We do not guarantee any specific number of website visits, profile views, impressions, inquiries, phone calls, leads, customers, sales, revenue, search-engine rankings, social-media views, coupon redemptions, or other business results. Analytics and visibility reports are intended to provide useful performance information based on data available to SLD or third-party platforms. Such data may be estimated, delayed, incomplete, filtered, or changed by the platform that supplies it.
8. THIRD-PARTY PLATFORMS AND LINKS
SLD may promote Customers through, or link Users to, third-party websites and services. Third parties control their own availability, algorithms, policies, advertising rules, content moderation, reach, and technical systems. SLD is not responsible for changes, outages, removals, restrictions, or other actions taken by a third-party platform. Links to participating businesses or other third-party websites are provided for convenience. SLD does not control those websites and is not responsible for their content, privacy practices, security, products, or services.
9. ACCEPTABLE USE AND SLD'S RIGHT TO REMOVE CONTENT
You must comply with SLD's Acceptable Use Policy and all applicable laws. You may not use SLD to submit or promote illegal, fraudulent, deceptive, infringing, defamatory, discriminatory, harmful, malicious, or unauthorized content. SLD may refuse, edit, suspend, or remove a listing, advertisement, offer, image, video, link, account, or other content that we reasonably believe violates these Terms, our policies, applicable law, third-party platform rules, or could harm Users, participating businesses, or SLD's operations or reputation.
10. ACCOUNT SECURITY AND TERMINATION
Customers are responsible for maintaining the confidentiality of their account credentials and for activity occurring through their accounts. Please notify SLD promptly if you believe an account has been accessed without authorization. Either party may end a month-to-month subscription as provided in these Terms. SLD may suspend or terminate access immediately for fraud, unlawful activity, abuse, nonpayment, repeated policy violations, security threats, or other material breaches of these Terms. Sections that by their nature should survive termination, including provisions concerning ownership, payment obligations, disclaimers, limitations of liability, and indemnification, will continue after termination.
11. DISCLAIMERS AND LIMITATION OF LIABILITY
To the fullest extent permitted by law, the SLD website and services are provided on an "as is" and "as available" basis. SLD does not warrant that the website or services will always be uninterrupted, error-free, secure, or available at a particular time. To the fullest extent permitted by law, SLD will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of data, or losses arising from transactions between Users and participating businesses. To the fullest extent permitted by law, SLD's total aggregate liability arising out of or relating to a paid Customer's use of the services will not exceed the amount that Customer paid SLD during the three months immediately preceding the event giving rise to the claim. For a User who has not paid SLD, SLD's aggregate liability will not exceed $100. Some laws may not allow particular exclusions or limitations, in which case those limitations apply only to the maximum extent permitted by law.
12. INDEMNIFICATION
To the fullest extent permitted by law, a Customer agrees to defend, indemnify, and hold harmless SLD and its owners, employees, contractors, and service providers from third-party claims, damages, liabilities, costs, and reasonable SURPRISE LOCAL DEALS Terms of Service - Draft for Review | Page 3 attorneys' fees arising from the Customer's content, offers, products, services, business practices, violation of law, infringement of another party's rights, or material breach of these Terms.
13. CHANGES TO THESE TERMS
SLD may update these Terms from time to time. The revised Terms will be posted with an updated effective date. When a material change affects an active paid subscription, SLD will provide reasonable notice when appropriate. Continued use of the services after revised Terms become effective constitutes acceptance of the revised Terms, except where applicable law requires a different form of consent.
14. GOVERNING LAW AND GENERAL TERMS
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. To the extent permitted by law, disputes arising from these Terms or SLD services will be brought in the state or federal courts having jurisdiction in Maricopa County, Arizona. If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. SLD's failure to enforce a provision is not a waiver of that provision. These Terms, together with the applicable order or plan description, Privacy Policy, and Acceptable Use Policy, constitute the agreement governing use of the SLD services unless SLD and the Customer sign a separate written agreement.
